Appendix 1A to this report is exempt from publication by virtue of paragraph 14 of Part 4 and paragraph 21 of Part 5 of Schedule 12A of the Local Government Act 1972

RESOLVED: that

1.            the Commissioning and Procurement Local Authority Trading Company Business Case attached to the report be approved and agreed that a Local Authority Trading Company be agreed as generally described in the report to deliver procurement and commercial services to the public and private sectors

2.                   the appointment of the Corporate Director (Resources) as the Council’s Shareholder representative be agreed.

3.            It be noted and recommend to Council for approval the appointment of officers as Directors to the Board as set out in paragraph 31 of the report. 

4.            Authority be delegated to the Corporate Director (Resources) in consultation with the Council’s Monitoring Officer to:

·           Agree the constitutional and governance documents required to set up the Local Authority Trading Company

·           Agree all other documents required relating to the operations of the Local Authority Trading Company and its relations with the Council

Y Cabinet yn ystyried cynigion i sefydlu cwmni masnachu awdurdod lleol i ddarparu caffael a gwasanaethau masnachol i'r cyhoedd a sefydliadau yn y sector preifat.

Roeddyr achos busnes oedd wedi'i atodi i’rr adroddiad yn manylu ar yr asesiad a gynhaliwyd o'r tri dewis fodel cyflenwi ar y rhestr fer, dadansoddiad budd cost, y canlyniadau a gynlluniwyd a manteision i'r Cyngor, asesiad risg a  manylu ar y trefniadau llywodraethiant a’r strwythur cyfreithiol.

PENDERFYNWYD : i

1.Achos Busnes y Cwmni Masnachu Comisiynu a Chaffael yr Awdurdod Lleol sydd ynghlwm wrth yr adroddiad i gael ei gymeradwyo a chytuno i’r cwmni Masnachu Awdurdod Lleol I gael ei gytuno  fel y’I disgrifiwyd yn gyffredinol yn yr adroddiad i ddarparu gwasanaethau masnachol a caffael I’r sector cyhoeddus a'r sector preifat

2.cytuno ar benodi Cyfarwyddwr Corfforaethol (Adnoddau) fel cynrychiolydd Cyfranddaliwyr y Cyngor.

3.Nodi ac argymell i'r Cyngor i gymeradwyo penodi swyddogion fel Cyfarwyddwyr y Bwrdd fel y nodir ym mharagraff 31 adroddiad.

4.Dirprwyoawdurdod i'r Cyfarwyddwr Corfforaethol (Adnoddau) mewn ymgynghoriad â Swyddog Monitro'r Cyngor i:

·           Cytuno ar y dogfennau cyfansoddiadol a llywodraethiant sy'n ofynnol i sefydlu cwmni masnachu awdurdod lleol

·           Cytuno pob un o’rdogfennau eraill sy’n ofynnol sy'n ymwneud â gweithrediadau y cwmni masnachu awdurdod lleol a’i berthynas gyda'r Cyngor
